AGREEMENT TO OUR LEGAL TERMS

We are Reel Solutions, LLC, doing business as Reel Today (“Company,” “we,” “us,” “our”), a company registered in Arizona, United States at 4764 E Sunrise Dr. #29, Tucson, AZ 85718.

We operate the websites https://www.reeltoday.com and https://app.reeltoday.com (collectively, the “Site”), as well as any other related products and services that refer or link to these Terms & Conditions (collectively, the “Services”).

We provide services and software that make it easy for actors and talent representatives to create, manage, and share media.

These Terms & Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and Reel Solutions, LLC, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Terms & Conditions. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS & CONDITIONS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Changes to these Terms & Conditions. We may update these Terms & Conditions from time to time. Updated Terms & Conditions will be effective when posted on our Terms & Conditions page and will apply going forward. By continuing to use the Services after the “Last updated” date, you agree to the updated Terms & Conditions.

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

1. OUR SERVICES

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

Permitted Industry Use. The Services are offered only for use in the entertainment industry for professional talent media purposes, including by actors, talent agencies, management companies, and their authorized staff and collaborators, as well as casting directors, directors, producers, and other entertainment industry professionals who access the Services to review, evaluate, share, or collaborate on talent media materials. You may not use the Services for any other purpose or in any other industry. We may suspend or terminate access to the Services for any use outside this permitted scope.

Invitations, Associations, and Permissions (Actors, Agents, and Managers).
(a) Inviting representatives. Actors may invite agents and/or managers (“Representatives”) to access their materials and collaborate within the Services, including creating playlists and managing presentation settings. Representatives may also invite actors to join them.
(b) Association and visibility. If an actor and Representative establish an association in the Services (for example, by accepting an invite and linking accounts), the Representative may be able to view and access the actor’s media, including media the actor uploads and media the actor orders through the Services, subject to the permissions and settings available within the Services.
(c) Permission controls. We may offer permission controls that allow actors to grant Representatives more or less access. Depending on the permissions selected and features available at the time, Representatives may be able to perform actions such as creating playlists, renaming files, changing thumbnails, adjusting display settings, and other presentation-related actions.
(d) Trimming and edits by Representatives. The Services may allow certain users (including Representatives, if permitted by the actor’s settings) to trim clips or modify presentation of media using our tools. We are not responsible for changes made by a Representative that the actor has invited or authorized. The actor is responsible for selecting permissions, supervising Representative access, and reviewing outcomes.
(e) Removing associations; effects on access and playlists. Actors and Representatives may be able to remove or delete an association. Removing an association may immediately revoke access to linked media and features between the accounts, and the association may need to be re-established to restore access. If a Representative creates a playlist containing an actor’s linked media and the association is later removed, some or all of that actor’s media may be removed from the Representative’s playlist and/or become unavailable in that playlist.
(f) Invite emails and communications. By inviting a Representative (or by a Representative inviting an actor), you authorize us to send emails and other electronic messages reasonably related to the invitation, account creation, association/linking, and Service operation, including an invite email that links the invited party to the inviting account (where applicable).
(g) No authority verification; no rep disputes. We do not verify the identity or authority of invited parties or Representatives. We are not responsible for disputes, instructions, or agreements between actors and Representatives.
(h) Your responsibility. You are responsible for the accuracy of the email addresses you enter, the permissions you grant, and any sharing or collaboration consequences, including forwarding or re-sharing by recipients.
(i) Representative responsibility outside the Services. Representatives’ use, storage, distribution, or sharing of an actor’s content outside the Services is governed by their own obligations and agreements with the actor, and is not our responsibility.

Link Sharing and Access Control. The Services may allow you to share media via links, playlists, pages, or other sharing tools. Anyone with access to a link you share may be able to view the shared media depending on your settings and the Services’ sharing functionality. You are responsible for who you share with, the permissions you grant, and any consequences of sharing, including forwarding or re-sharing by recipients.

No Regulated Data. The Services are not designed for storing or processing sensitive regulated information (including health, financial, or government-regulated data). Do not use the Services to store, transmit, or process information subject to laws such as HIPAA, GLBA, or FISMA.

No Employment or Casting Guarantees. The Services are provided to help you organize, edit, manage, and share professional media materials. We cannot guarantee any auditions, representation, casting, bookings, employment, or other outcomes.

No Confidentiality by Default. We do not agree to confidentiality obligations regarding any materials or information unless we sign a separate written agreement expressly stating otherwise.


2. INTELLECTUAL PROPERTY RIGHTS

Our Content and Marks

We are the owner or the licensee of all intellectual property rights in the Services, including all source code, databases, functionality, software, website designs, layout, interface, and other materials we provide through the Services (collectively, “Our Content”), as well as the trademarks, service marks, and logos contained therein (the “Marks”). Our Content and Marks are protected by applicable intellectual property laws.

Your Content (what you upload or provide)

You retain ownership of the content you upload, submit, or provide through the Services, including videos, images, audio, text, and project materials (“Your Content”), subject to the licenses you grant us in these Terms & Conditions. You are solely responsible for ensuring you have the necessary rights and permissions to upload, request, use, and share any media through the Services.

Requested or Delivered Media

Any media you request that we help capture, edit, format, or deliver to you (including edited exports) is treated as Your Content for purposes of ownership as between you and us, but you are solely responsible for ensuring you have the necessary rights and permissions to request, use, and share that media.

Limited License to Use the Services

Subject to these Terms & Conditions, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for the Permitted Industry Use. You may view and use Our Content only as necessary to use the Services. You may not copy, distribute, or exploit Our Content or the Marks outside the Services unless we give prior written permission.

Permission Requests. Any use of Our Content or our Marks not expressly permitted requires our prior written permission. Contact info@reeltoday.com.

Submissions (feedback)

If you send us questions, comments, suggestions, or feedback about the Services (“Submissions”), you grant us a non-exclusive, royalty-free right to use that feedback to operate, improve, and market the Services, without compensation to you.


3. USER REPRESENTATIONS

By using the Services, you represent and warrant that:
(1) all registration information you submit will be true, accurate, current, and complete;
(2) you will maintain the accuracy of such information and promptly update such registration information as necessary;
(3) you have the legal capacity and you agree to comply with these Terms & Conditions;
(4) you are not a minor in the jurisdiction in which you reside;
(5) you will not access the Services through automated or non-human means, whether through a bot, script or otherwise;
(6) you will not use the Services for any illegal or unauthorized purpose;
(7) your use of the Services will not violate any applicable law or regulation; and
(8) you are not prohibited from using the Services under U.S. law, including applicable export controls and sanctions.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services (or any portion thereof).


4. USER REGISTRATION

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password.

Authorized access. You may not share credentials outside your organization/team. You are responsible for all actions taken through your account and for all actions taken by anyone you invite or authorize (including Representatives) based on the permissions you grant.


5. PURCHASES AND PAYMENT

Payment processing. Payments are processed through Stripe and may support major credit/debit cards and other payment methods offered by Stripe (such as Apple Pay) depending on your device and location.

You agree to provide current, complete, and accurate purchase and account information and to promptly update your account and payment information.

Taxes. Sales tax may be added as required. You are responsible for any applicable taxes, duties, or government assessments associated with your purchase, except taxes based on our net income.

We may change prices at any time. All payments are in US dollars. We may refuse any order or transaction.


5A. DEFINITIONS (CREDITS, SCENES, EDITING, CAPTURE)

(a) “Credits” are non-cash, non-transferable units that may be purchased, earned, granted, or included with certain subscription plans, and that may be redeemed solely for eligible Services as described at the time of purchase or redemption.
(b) “Scene” means a single continuous segment of audiovisual content from a single title/source requested for capture, beginning at a start timestamp (or other identifier) and ending at an end timestamp, intended to focus on the requested performer’s moment(s). A Scene is a single contiguous excerpt and does not include multiple non-contiguous excerpts, compilation requests, or extended segments primarily featuring other performers.
(c) “Video Editing Services” means editorial services performed on media you provide or media captured at your request, including trimming, sequencing, assembling demo reels, basic audio leveling, and export formatting, as offered within the Services.
(d) “Capture Services” means the service of locating, extracting, and delivering the requested Scene excerpt from the title/source identified by you, as offered within the Services. Capture Services may also be referred to as “Airchecks,” “Video Capture,” “Footage Pulls,” “Clip Pulls,” “Scene Pulls,” “Pull Requests,” or similar terms, and all such terms refer to the same service.


5B. CREDITS: NO CASH VALUE; PRICING MAY CHANGE; REDEMPTION RULES

Credits have no cash value and are not redeemable for cash, except where required by law. Credit pricing, redemption rates, and eligible Services may change at any time.

Promotional or courtesy Credits may be subject to additional terms (including earlier expiration) disclosed at the time they are issued.


5C. CREDIT REDEMPTION VALUES FOR EDITING AND CAPTURE

Five (5) Credits equals one (1) hour of Video Editing Services. One (1) Credit equals one (1) Scene captured, subject to scope rules.


5D. SCENE SCOPE; NON-CONTIGUOUS CONTENT; DISCRETION TO LIMIT OR REFUSE

Non-contiguous requests may be treated as multiple Scenes and require additional Credits. We may trim, request clarification, or decline/limit fulfillment where a request is ambiguous, excessively long, not aligned with the Services, or not reasonably available.


5E. USER RESPONSIBILITY FOR RIGHTS, AUTHORIZATION, AND REQUESTED MEDIA

You represent and warrant you have the right and permission to request and use the media you ask us to capture, edit, store, or distribute through the Services. You are solely responsible for ensuring your requests and intended use comply with applicable laws, guild rules, contractual obligations, platform terms, and third-party rights.

We may refuse, pause, or cancel any capture or editing request if we believe it may violate copyright, contractual restrictions, platform terms, or other third-party rights.

We do not provide legal advice; you are responsible for obtaining advice about rights and permissions.


5F. ESTIMATES; DELIVERY TIMES; REVISIONS; CHANGE REQUESTS

(a) Any quotes, estimates, or turnaround times are non-binding estimates and may vary based on workload, complexity, source availability, and the quality/accuracy of request details you provide.
(b) If the scope changes after work begins (including new timestamps, different titles, additional Scenes, additional exports, or expanded editing), additional Credits and/or fees may be required beyond any original estimate, plan inclusion, or purchase.


5G. EXPIRATION OF CREDITS

Purchased Credits expire one (1) year after issuance unless extended by an eligible plan as stated in the Services or required by law.


5H. NO REFUNDS; NO CHARGEBACKS; AMOUNTS DUE FOR COMPLETED WORK

(a) Final sale. Except where required by applicable law, all purchases of Credits and all Credit redemptions are final and non-refundable.
(b) No chargebacks for authorized charges. You agree not to initiate any chargeback, payment reversal, or dispute for a charge that was authorized by you and related to Credits or Services you purchased or used.
(c) Contact us first. If you believe a charge is unauthorized, contact us immediately at info@reeltoday.com so we can investigate and help resolve it.
(d) Amounts due for completed work. If you initiate a chargeback or payment reversal after (i) Credits have been issued, (ii) Credits have been redeemed, and/or (iii) Services have been performed or Media has been delivered or made available to you, then you remain responsible for paying amounts due for those Credits and/or Services. We may treat the chargeback amount as an outstanding balance (“Past Due Amount”). Your right to access and use any Media delivered or made available through the Services is conditioned on successful payment.
(e) Remedies. If a chargeback or payment reversal occurs, we may suspend or terminate your account, remove/forfeit associated Credits, disable access to Media (including within playlists, pages, or share links), and/or refuse future purchases or Services.
(f) Collection costs. To the fullest extent permitted by law, you agree to reimburse us for reasonable costs incurred to collect any Past Due Amount, including payment processor dispute fees, collection agency fees, court costs, and reasonable attorneys’ fees.
(g) Reinstatement. We are not required to reinstate your account or restore Credits/Media unless and until Past Due Amounts are paid in full.


5I. ACCOUNT SECURITY; UNAUTHORIZED USE

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.


5J. MEDIA FEES (RENTALS, ACCESS FEES, THIRD-PARTY COSTS)

(a) Certain requested Capture Services may require us to pay third-party fees to access, rent, purchase, or otherwise obtain lawful viewing access to a title/source (each, a “Media Fee”).
(b) Media Fees are separate from Credits and are not included in subscription pricing, plan benefits, or Credit redemption unless expressly stated in the Services.
(c) Authorization to charge. By placing a Capture request, you authorize us to charge applicable Media Fees to your payment method on file (or invoice you, at our discretion) in addition to any Credits required for the request.
(d) Approval threshold. If the Media Fee is under ten dollars ($10) (before any applicable taxes), you authorize us to apply that fee without additional approval. If the Media Fee is ten dollars ($10) or more, we will seek your approval before charging the Media Fee. If you do not approve the Media Fee, we may decline, pause, or cancel the request.
(e) Media Fees are non-refundable except where required by applicable law.


6. SUBSCRIPTIONS

Subscriptions auto-renew unless canceled. You authorize recurring charges until you cancel. Trials (if any) will be disclosed at sign-up. We do not provide prorated refunds for partial billing periods. Cancellation takes effect at the end of the current paid term. We may change subscription fees and plan terms from time to time.

Cancellation. Cancel anytime by logging in and going to https://app.reeltoday.com/account Manage SubscriptionCancel Subscription, then confirm. Cancellation takes effect at the end of the current paid term. Purchases are non-refundable.

Reactivation. If you cancel and later reactivate, your subscription will renew at then-current pricing and plan terms.


6A. SUBSCRIPTION PLANS THAT INCLUDE CREDITS (INCLUDING “REELPRO”)

Certain plans may include Credits as described in the plan. Subscription-included Credits may be subject to caps or rules stated in the plan and may be lost upon cancellation or termination.


6B. EASY REEL UPDATE (ESR)

(a) What ESR is. “Easy Reel Update” or “ESR” is an optional subscription benefit/service that helps make future updates to your Reel Today–edited demo reel quicker and more affordable by keeping certain project materials used to create your reel reasonably available for updates and changes.
(b) Availability and eligibility. ESR may be included with certain subscription plans (including “ReelPro”) and may also be offered as a standalone subscription, as described in the Services. ESR is available only to clients whose demo reel was edited by Reel Today and may require that your reel project meets current technical or compatibility requirements.
(c) What we keep (and what we don’t). While ESR is active and in good standing, we may retain certain project materials associated with your Reel Today–edited reel (which may include edit timelines, project files, exports, notes, and/or source media references) to support updates. We do not guarantee that every original asset, codec, plug-in, font, third-party element, or exact project environment will be retained or remain compatible over time.
(d) No ESR = no obligation to retain reel files. If you do not maintain an active ESR subscription (or an eligible subscription plan that includes ESR), we may delete reel project materials and related files after completion and delivery, and we have no obligation to store, maintain, archive, or retain your reel project materials or source files, except as required by applicable law.
(e) Our-side loss events. If we lose, corrupt, or are unable to access retained ESR project materials due to an issue on our side, and you have an active ESR subscription (or an eligible plan that includes ESR) at the time you request assistance, we will make commercially reasonable efforts to rebuild your Reel Today–edited reel at no charge.
(f) Rebuild limitations and timing. Rebuilds may take time and may require substitutions due to software/version changes, missing or incompatible elements, or evolving technical standards. A rebuilt reel may be substantially similar but not identical. Some previously captured or delivered Scenes (including Airchecks/Footage Pulls) may later become unavailable due to third-party availability changes, licensing restrictions, paywall changes, removals, or takedowns outside our control, and we are not responsible for any inability to re-capture, re-deliver, or re-create media that is no longer available from the original source.
(g) No guaranteed outcomes. ESR improves convenience and continuity but does not guarantee exact duplication, uninterrupted availability, or a specific turnaround time.
(h) Loss on your side; re-download; archival retrieval. If you lose your local copy of a reel or export, your primary remedy is to re-download it from your account while it remains available in the Services. If the reel/export or related project materials have expired or been deleted (including due to plan limits, cancellation, or retention policies), we may be able to attempt retrieval or reconstruction from archived systems, but we do not guarantee availability. If we attempt retrieval or reconstruction, an archival/retrieval fee and/or additional Credits and Media Fees may apply, and turnaround times may vary.


7. PROHIBITED ACTIVITIES

You may not use the Services for any purpose other than the Permitted Industry Use. You agree not to use automated tools, bypass security, upload malware, harass or defraud others, reverse engineer the Services, or use the Services to compete with us or for unauthorized commercial purposes.

No scraping or redistribution. You may not scrape, download in bulk, copy, reproduce, redistribute, or publicly display any content from the Services outside of the Services’ intended sharing tools and permissions, except with our prior written permission.


8. USER GENERATED CONTRIBUTIONS

If you upload, submit, post, or otherwise make content available through the Services, you represent and warrant that you have all rights necessary to do so and that your content does not violate law or third-party rights.


9. CONTRIBUTION LICENSE

By uploading or making content available through the Services, you grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, and display your content solely to operate, provide, maintain, and improve the Services, and to make your content available as you direct through the Services (for example, via links you share or permissions you set). We will not use your name, image, voice, likeness, or content for marketing without your explicit permission.


10. THIRD-PARTY WEBSITES AND CONTENT

Third-party links/content may be provided. We are not responsible for third-party websites, content, or policies.


11. SERVICES MANAGEMENT

We may monitor for violations, restrict access, remove content, and manage the Services to protect our rights and proper functioning. We may remove or restrict content to comply with law, enforce these Terms & Conditions, or protect the Services.


12. PRIVACY POLICY

Please review our Privacy Policy: https://reeltoday.com/privacy-policy/. By using the Services, you agree to it. The Services are hosted in the United States and you consent to processing and transfer of data to the United States.


13. COPYRIGHT INFRINGEMENTS

If you believe content on the Services infringes your copyright, please email info@reeltoday.com with the following:
(a) identification of the copyrighted work claimed to be infringed;
(b) identification of the material you claim is infringing and where it is located on the Services (including the specific URL, if available);
(c) your name, address, telephone number, and email address;
(d) a statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law;
(e) a statement that the information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act on the copyright owner’s behalf; and
(f) your physical or electronic signature.


14. TERM AND TERMINATION

We may suspend or terminate access to the Services at any time, without notice, for any reason, including violation of these Terms & Conditions.


15. MODIFICATIONS AND INTERRUPTIONS

We may change, modify, suspend, or discontinue the Services (including features, storage limits, and plan benefits) at any time without notice. We do not guarantee uninterrupted availability.

We may perform maintenance that limits availability. Third-party providers (including hosting, storage, and payment processors) may experience outages outside our control.

We do not offer refunds or service credits for outages or interruptions, except where required by law.


16. GOVERNING LAW

Arizona law governs these Terms & Conditions.


17. DISPUTE RESOLUTION

(a) Informal resolution first. Before starting a formal dispute, you agree to contact us at info@reeltoday.com and attempt to resolve the issue informally.

(b) Binding arbitration. Except for the exceptions in Section 17(d), any dispute, claim, or controversy arising out of or relating to the Services or these Terms & Conditions (a “Dispute”) will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules. The arbitration will take place in Pima County, Arizona, unless the parties agree otherwise, and may be conducted remotely where permitted by the rules. The arbitrator will have authority to award any relief that a court could award on an individual basis.

(c) No class actions; individual claims only. You and we agree that Disputes will be brought only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate claims or preside over any form of representative proceeding.

(d) Exceptions. Either party may bring a claim in small claims court (if eligible) or seek a court order to stop misuse or infringement.

(e) Time limit. To the fullest extent permitted by law, any Dispute must be filed within one (1) year after the claim arises, or it is permanently barred.


18. CORRECTIONS

We may correct errors at any time without notice.


19. DISCLAIMER

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES, TO THE FULLEST EXTENT PERMITTED BY LAW.


20. LIMITATIONS OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY WILL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.


21. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our affiliates and our and their respective officers, directors, employees, and agents, from and against any loss, damage, liability, claim, or demand (including reasonable attorneys’ fees) arising out of or related to: (1) your use of the Services; (2) Your Content; (3) your violation of these Terms & Conditions; or (4) your violation of any rights of a third party.


22. USER DATA
22A. MEDIA STORAGE; EXPIRATION; PLAYLIST AVAILABILITY; DELETION

(a) We may process and prepare media you upload or request (“Media”) for use in the Services.
(b) Unless you maintain an active paid subscription (or other paid plan expressly stated in the Services), Media may expire thirty (30) days after processing is completed and may become unavailable. If Media expires, it will also become unavailable anywhere it appears in the Services, including playlists, pages, and share links.
(c) Expired Media may remain stored for a period of time and may be eligible for reactivation with an eligible subscription, but we do not guarantee reactivation or continued storage.
(d) We may delete Media (including expired Media) at any time and have no obligation to store it except as required by law.
(e) You should download and store copies of your Media promptly; we are not a permanent backup service.
(f) Reel project materials and edit files may also be subject to deletion or retention rules described in Section 6B (ESR).
(g) If you cancel your subscription or close your account, Media and account data may be expired, restricted, or deleted in accordance with our retention policies, and we have no obligation to store it.
(h) Account downloads. You may download available Media from your account while it remains available in the Services. We do not guarantee availability or export after expiration, cancellation, or deletion.

22B. STORAGE LIMITS; OVERAGES; ENFORCEMENT

If you exceed plan storage limits and do not upgrade or reduce usage, we may restrict functionality and may expire or delete Media to bring your account within limits. You are responsible for maintaining your own backups.


23. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that communications we provide electronically satisfy any legal requirement that such communications be in writing.


24. SMS TEXT MESSAGING

If you receive SMS from us, message and data rates may apply. To opt out, email info@reeltoday.com.


25. CALIFORNIA USERS AND RESIDENTS

If any complaint with us is not satisfactorily resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs.


26. MISCELLANEOUS

These Terms & Conditions and any policies posted by us constitute the entire agreement between you and us regarding the Services. If any provision is deemed unlawful, void, or unenforceable, that provision is severable and does not affect the validity of the remaining provisions. We may assign our rights and obligations.
